1. Acceptance of Terms
By accessing or using the IMAST 360 platform (“Platform”) operated by IMAST Operations Private Limited (“IMAST”), you agree to these Terms of Service. If you do not agree, do not use the Platform.
2. Services
IMAST provides the following SaaS products: LoyaltyBoard (loyalty management), Distribution+ (DMS), Sales Track (SFA), LeadSprint (lead management CRM), TrueView (after-sales service), and Reward+ (rewards & redemption). Features may be updated with 30 days’ notice.
3. Account Registration
You must provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately at security@imast.in of any unauthorised access.
4. Billing & Payment
- Fees are charged in Indian Rupees (INR) unless otherwise agreed
- Monthly plans are billed in advance; annual plans offer a 20% discount
- Annual subscriptions are non-refundable after 14 days
- 15-day grace period for overdue invoices before service suspension
- Prices may change with 60 days’ written notice
5. Acceptable Use
You agree not to:
- Violate any applicable law or regulation
- Infringe third-party intellectual property rights
- Transmit malware, spam, or harmful code
- Attempt to gain unauthorised access to the Platform
- Reverse-engineer, decompile, or disassemble any part of the Platform
- Use the Platform for competitive benchmarking without consent
6. Intellectual Property
IMAST retains all rights to the Platform, including software, APIs, documentation, and trademarks. “IMAST,” “IMAST 360,” “LoyaltyBoard,” “Distribution+,” “Sales Track,” “LeadSprint,” “TrueView,” and “Reward+” are registered trademarks of IMAST Operations Private Limited.
7. Data Ownership & Portability
Your data belongs to you. You can export all Customer Data at any time in CSV, JSON, or PDF format. Upon termination, you have 30 days to export data before permanent deletion. We do not claim any ownership rights over Customer Data.
8. Service Level Agreement
- Target uptime: 99.9% (measured monthly)
- Scheduled maintenance: Communicated 48 hours in advance
- Service credits: Available for Enterprise customers if SLA is not met
- Exclusions: Force majeure, third-party service outages, customer-caused issues
9. Limitation of Liability
IMAST’s total liability is capped at 12 months of fees paid. We are not liable for indirect, consequential, incidental, special, or punitive damages. This limitation applies to the fullest extent permitted by law.
10. Indemnification
You agree to indemnify IMAST against claims arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.
11. Termination
- Either party may terminate with 30 days’ written notice
- IMAST may suspend access immediately for Terms violations or non-payment
- Upon termination: 30-day data export window, then permanent deletion
- Sections on IP, liability, and governing law survive termination
12. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Indore, Madhya Pradesh, India.
